TERMS AND CONDITIONS FOR REFERRAL EXCHANGES ON ESTATEICONS

1. DEFINITIONS

1. “Referral” means a lead or potential client submission by a Referring Agent (“Sender”) to a Receiving Agent (“Receiver”).
2. “Sender” means the EstateIcons-registered real estate professional who initiates a Referral.
3. “Receiver” means the EstateIcons-registered real estate professional who accepts and fulfills the Referral.
4. “Referral Fee” means the percentage of the closing commission paid by the Receiver to the Sender upon successful transaction.
5. “Platform” refers to the EstateIcons Flow Network infrastructure, website, mobile app, and related services.

2. ELIGIBILITY & ACCESS

1. Only duly licensed, EstateIcons-verified real estate agents in the United States may send or receive Referrals.
2. All users must maintain an active, authenticated account. Any click on referral features by an unauthenticated user shall trigger the EstateIcons Sign-In Modal and block further action until login is complete.
3. Free-tier users are limited to a fixed 8% Referral Fee. Paid-tier users access higher and adjustable Fee ranges as defined by their subscription plan.

3. REFERRAL MECHANISM

1. The Sender shall select the Referral Fee percentage within the permitted range for their plan at the moment of Referral creation. Once submitted, the Fee is irrevocably locked.
2. The Receiver must explicitly accept each Referral within fourteen (14) calendar days of receipt; unaccepted Referrals shall automatically expire.
3. After acceptance, the Receiver shall diligently pursue and complete the transaction in good faith and with professional competency.

4. USER OBLIGATIONS

1. Sender Obligations:
   • Provide accurate, up-to-date information regarding the lead and any associated property.
   • Obtain and document all necessary authorizations for data sharing; any violation shall be grounds for immediate suspension.
2. Receiver Obligations:
   • Conduct all customer interactions and showings with professional integrity.
   • Report any suspected inaccuracies or fraud to the EstateIcons Legal & Compliance Team within 48 hours.

5. PROHIBITED CONDUCT

1. Creation of false or misleading Referrals, use of multiple accounts to circumvent limits, or any manipulation of Referral status is strictly forbidden.
2. EstateIcons reserves the unilateral right to suspend or terminate any account found in violation, void all associated Referrals, and pursue legal remedies.

6. MONITORING & ENFORCEMENT

1. Automated Surveillance:
   • EstateIcons employs proprietary algorithms to monitor Referral patterns, transaction timelines, and user behavior in real time.
   • Any anomalies—such as bulk submissions, duplicate data, or excessively rapid closings—trigger immediate automated review.
2. Legal Oversight:
   • The EstateIcons Legal & Compliance Team conducts continuous manual audits of flagged Referrals.
   • Users must cooperate fully with any requests for documentation, electronic signatures, or additional evidence.

7. TRANSACTION CLOSURE & PAYMENT

1. Upon successful closing and antifraud verification, the Receiver shall remit the agreed Referral Fee to the Sender within thirty (30) days, via the Platform’s designated payment methods.
2. EstateIcons acts solely as facilitator and record-keeper; all payment disputes between Sender and Receiver are to be handled directly by the parties, with Platform records admitted as conclusive evidence.

8. LIMITATION OF LIABILITY

1. EstateIcons shall not be liable for any direct, indirect, incidental, or consequential damages arising from user interactions, market fluctuations, or transaction outcomes.
2. The Platform guarantees the integrity of its systems and calculations but disclaims responsibility for any contractual disputes or losses between agents.

9. AMENDMENTS

1. EstateIcons reserves the right to modify these Terms at any time. Notice of material changes will be provided via the Platform at least fifteen (15) days prior to effectuating such changes for paid subscribers. Continued use after the effective date constitutes acceptance.

10. GOVERNING LAW & JURISDICTION

1. These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws provisions.
2. Exclusive venue for any dispute shall lie in the federal or state courts located in New York County, New York.

By using the EstateIcons Flow Network referral features, you acknowledge and irrevocably agree to abide by these Terms and Conditions.
